Skyblade Elite Terms of Agreement
Terms of Agreement YOU MUST BE AT LEAST 18 YEARS OLD TO AGREE TO AND ACCEPT THIS AGREEMENT. IF YOU ARE BELOW 18 YEARS OF AGE, PARENTAL CONSENT IS REQUIRED FOR YOUR PARTICIPATION IN THIS SERVICE. Magics Co., Ltd. (the "Magics") is the Developer and Creator of SkyBlade, Sword of the Heavens MMORPG, awarded exclusively to publish in the Philippines by Z-Zone Online Philippines, Inc. Z-Zone Online Philippines, Inc. (the "Z-Zone") offers to allow you to play its internet based MMORPG "SkyBlade" (the "SkyBlade") conditioned on your agreement to all of the terms and conditions contained in this Agreement. Z-Zone does not provide Internet access, and you are responsible for all fees associated with your Internet connection. The Web Site is an active part of the Service and any use of the website is governed by the same Terms of Agreement. Your use of SkyBlade Online Game constitutes your agreement to all such terms and conditions. This Terms and Conditions ("Agreement") is made between Z-ZONE ONLINE PHILIPPINES, INC. ("Company") and any person (collectively "you" or "your") who completes the registration process to open and maintain an account with the Company for the multiple game Services ("Services"). As part of the Services, the Company maintains a family of multiple sites on the World Wide Web ("Web Sites"). BY CLICKING THE "I ACCEPT" BUTTON OR SUCH EQUIVALENT BUTTON OR ACCESSING, USING OR INSTALLING ANY PART OF THE SERVICES, YOU EXPRESSLY AGREE TO AND CONSENT TO BE BOUND BY ALL OF THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, YOU MUST NOT ACCESS, USE OR INSTALL ANY PART OF THE SERVICES. Agreement This document compromises the entire agreement between the Company and you regarding the Services. The Company may revise this agreement at any time, and such revision shall be effective seven (7) days after posting of the revised Agreement on the Web Site. You agree to review the Agreement on the Web Site periodically to become aware of such revisions. If any such revision is unacceptable to you, you may terminate your membership of the Agreement. Your continued use of the Services seven (7) days after posting of a revised Agreement on the Web Site will mean that you accept all such revision. Account / User I.D. Character Account ID/ User I.D.: When you register for the Services, you will become a Member of the Services and an account/user I.D. will be created for you (your "Account/ User I.D. "). The term "Member" in this Agreement refers to any person or entity, including you that have registered for the Services, has entered into this Agreement with the Company and is authorized by the Company to use the Services. Upon your registration as a Member of the Services, you must choose a name to identify yourself to other Members and Services staff when you use the Services ("Character Account ID/ User I.D. "). You may not select as your Character Account ID/ User I.D. a name which violates any third party's trademark right, copyright, or other proprietary right, or which the Company deems in its discretion to be vulgar or otherwise offensive. You agree to submit information which is true, up-to-date and accurate and not to submit a registration containing forged, fraudulent, false or misleading information. Registrations may be subject to verification. The Company reserves the right to delete any Character Account ID/ User I.D., including those Character Account ID/ User I.D. which contain vulgar or otherwise offensive elements. You are entirely liable for all activities conducted through your Character Account ID and the User I.D registered to your Account. Character Account & User Password: Upon your registration for the Services, you will select a password. You are responsible for maintaining the confidentiality of your password and you are responsible for any harm resulting from your disclosure or allowing the disclosure of any password or from use by any person of your password to gain access to your Character Account ID/ User I.D. At no time should you respond to an online request for a password. The Company's employees will never ask for your password online. You acknowledge that although the Services may offer a feature that allows you to "remember" your password and thereby bypass the password protection, this feature makes it possible for third parties to access your Character Account ID/ User I.D.. Use of this password feature will be at your own risk. It is strongly discouraged. Charges for Service PACHUN GOLD (P.G.) is the game currency of SkyBlade, Sword of the Heavens. Pachun Gold is purchased through retail pre-payments from official vendors of Z-ZONE ONLINE PHILIPPINES, INC. or direct online transfer administered by Z-Zone’s accounting department. (1) one Pachun Gold is equivalent to (1) one Peso. ITEM MALL is a virtual shop with complete inventory of premium items for players to enhance their Character Account with rare to find armors, weapons and other consumable items that could elevate their character’s ranking and status in the game. Premium items sold at the Item Mall are purchased using Pachun Gold and Pachun Tokens. PACHUN TOKEN (P.T.) is a different currency for SkyBlade gamer with similar accessibility for purchasing items in the Item Mall. Pachun Tokens are acquired through promotions and widely used to introduce access to Item Mall to the players. SkyBlade is FREE-TO-PLAY and subscription or membership fees are not included on the Services. Players may purchase virtual items (Pachun Gold) published on the website for gaming enhancement but it does not and will not constitute subscription or membership fees to access the game. P.G. balance practice is executed to provide priority service to players who religiously favors visiting the item mall. Inactive Character Account without regulated P.G. balance add to database log and delay the data transactions for players actively playing SkyBlade. Current fees for using the Services are published on the Web Site. The Company may change its fees and billing methods at any time effective thirty (30) days after notice of the changes are posted on the Web Site. All changes will be posted on the Web Site and you are responsible for reviewing the Web Site to obtain timely notice of such changes. If any such change is unacceptable to you, you may terminate your use of the Membership. Your continued use of the Services thirty (30) days after posting of the changes on the Web Site will mean you accept such change. YOU ARE FULLY LIABLE FOR ALL CHARGES UNDER YOUR ACCOUNT, INCLUDING ANY UNAUTHORIZED CHARGES. Payment by Credit Card: If you purchased P.G. via credit card, you represent to the Company that you are the authorized user of the credit card to pay Services charges. Each month you use the Services, you agree and reaffirm that the Company is authorized to charge your credit card. You agree to promptly notify the Company of any changes to your credit card. Communication Email Account: It is imperative to register a working email account or email address. Contacting Customer Support requires email for filing of cases thru the HelpDesk. Resolutions and other correspondences are served via HelpDesk as well. HelpDesk: is a tool designed into Z-Zone network system, operated by Customer Support exclusively. This tool operates side-by-side an email engine to send and receive duly notices and reminders. Let it be known to all SkyBlade players that HelpDesk, no matter how it is operated in real-time on Z-Zone side, may be delayed for its recipient/s due to the following reasons: HelpDesk to Players and vice-versa is STILL an intertwining sending and receiving of email messages. Operation is real-time only on sending end of the process that does not warrant instant delivery. Registered email account of the player is a commercial client that has entirely custom ruling of restriction. These are the likes of Yahoo mail, Gmail, MSN mail, etc. As explained, these giant email corporations may or may not delay correspondences coming from email domain extensions unders Z-Zone lists (@z-zone.com.ph and @skyblade.com.ph). This is not an unlawful ruling its part of their privilege to set their own rules to secure the privacy and integrity of their customer's account from anonymous spammers or agency promoting massive email broadcasting. Bandwidth Traffic! Upon sending of notices by C.S. it is always affirmed that player/s will receive it in 10 seconds time. With commercial issues and traffic, this perception has spun away from reality and its not the control of Z-Zone nor SkyBlade Team. Z-Zone as another corporation can only accept their terms to give way to SkyBlade players using these types of email engines or clients. Code of Conduct You agree to abide by the Code of Conduct set forth below. The Company may amend the Code of Conduct at any time. The Company reserves the right to terminate your account if it determines in its sole discretion that you have engaged in or suspected of any impermissible conduct whether or not such conduct violates the Code of Conduct. You acknowledge, however, that the Company does not pre-screen contents or communications over the Services. You may not create or use any Character Account ID/ User I.D that may be confused with the Character Account ID/ User I.D which may be created and/or used by the Company for the purpose of efficient operation, customer support, test or review of the Services. This include, but not limited to, Character Account ID/ User I.D STARTING WITH SB, SkyBlade, Z-Zone, ZZONE, SBGM, GM, GAME MASTER, GC, GAME COUNSELOR, JUNIOR GC, SENIOR GC, TEST, TESTER, REVIEW, or REVIEWER. You may not harass, threaten or embarrass other players, including but not limited to targeting another player or group of players to harm or inconvenience them. You may not use any offensive or sexually explicit language You may not use any defamatory, obscene, harmful, threatening, unlawful, abusive, harassing, hateful, racially or ethnically offensive language. You may not loot other players kill (i.e. take money or items from a fallen creature without the express permission of those who killed the creature if they are in attendance) You may not enter into "excessive player killing". Although the definition of "excessive" is subjective, a determination of such will be made by a Company's Game Master in response to his/her own game-play observations, and/or complaints from other players. You may not enter into game-play practices that cause disruption of game-play for other players, or adversely affect game performance. You may not sell, buy or trade characters or items. Any advertising regarding trading of characters or items on message boards may be deleted without notification. The company is not responsible for any problems caused by illegal trading, selling or buying of characters or items. You may not impersonate any employee of the Company or customer support representatives. You may not violate any local, national or international law or regulation. You may not modify any part of the Services or Web Site of the Company that the Company does not specifically authorize you to modify. You may not arrange for the exchange of, market or advertise anything including any pirated or illegal software on the Services or through the Web Site of the Company, or use the Services or Web Site of the company for any other illegal purpose. You may not organize nor be a member of any groups that are based on, or espouse, any racist, sexist, anti-religious, anti-ethnic, anti-gay, or other hate-mongering philosophy. You will not upload or transmit on the Services or the Web Site of the Company any copyrighted content that you do not own all right to, unless you have the express written permission of the author or copyright holder. You may not give false information or intentionally hide any information when registering with the Services. You may not use the Services or the Web Site of the Company for any activities other than activities permitted within the Services. You may not post or communicate personal information of any player and nor do anything that may hurt privacy of other players in the Services or the Web Site of the Company. You should not share your account information with others as, you as the account owner, are wholly responsible for the actions of characters created under your account. You will not attempt to interfere with, hack into, or decipher any transmissions to or from the servers. You will not exploit any bug in games and you will not communicate the existence of any such exploitable bug (bugs that grant the user unnatural or unintended game benefits), either directly or through public posting. You will not create, use or provide any utilities, emulators or other software tools related to games that grant the user unnatural or unintended game benefits. Privacy You understand that you have NO EXPECTATION OF PRIVACY regarding the communications made by you in the Services and that all communications made by, or received from, you may be monitored by the Company or its Customer Support people. Parental Guidance Parents may find that some content within the Services is inappropriate for teenage players. While the Company may choose to monitor and take action upon inappropriate game-play, chat or links to the Services, it is possible that at any time there may be language or other material accessible on or through the Services that may be inappropriate for children or offensive to some users of any age. While the company has established Code of Conduct for players accessing the Services, the Company cannot ensure that other players will not provide content or access to content that parents or guardians find inappropriate or that any user may find objectionable. The Company does not as a matter of policy prescreen the content of the materials or communications transmitted by each player. Disclaimer of Warranties THE SERVICES IS PROVIDED ON AN "AS IS", "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. YOU EXPRESSLY AGREE THAT THE USE OF THE SERVICES IS AT YOUR SOLE RISK. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, NOR DOES THE COMPANY MAKE ANY WARRANTY AS TO ANY RESULTS THAT MAY BE OBTAINED BY USE OF THE SERVICES. COMPANY MAKES NO OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, IN RELATION TO THE SERVICES. THE COMPANY ASSUMES NO RESPONSIBILITY FOR ANY DAMAGES SUFFERED BY YOU, INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA, ITEMS OR CHARACTERS FROM DELAYS, NONDELIVERIES, ERRORS, SYSTEM DOWN TIME, MISDELIVERIES OR SERVICES INTERRUPTIONS CAUSED BY THE COMPANY OR YOUR OR ANY OTHER MEMBER'S OWN ERRORS AND/OR OMMISSIONS. The investigation of hack reports will only be done once for every account. Our Help Desk will only entertain hack case reports once for every account but will forward your case if further assistance is needed. A player is responsible for the security and confidentiality of his account password, including the various uses of the password, whether authorized or unauthorized. Z-ZONE ONLINE PHILIPPINES, INC. does not guarantee that SkyBlade websites are free from any harmful software, and that the same is hack-proof. Account security is therefore the sole responsibility of the account holder, wherein, he is advised to take all security measures reasonably available to safeguard the operating system and accounts when accessing the Games and the websites. The Company reserves the right to deny any request for item return, compensation, character restoration and account reset. The company shall not be responsible in any way for the loss of or damage to a players account that includes but not limited to, character statistics and skills, account particulars and items lost. In no event will the company be liable to a player for any indirect, incidental, special, exemplary or consequential damages. Limitation of Liability UNDER NO CIRCUMSTANCES SHALL THE COMPANY BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE SERVICES. YOUR SOLE AND EXCLUSIVE REMEDY HEREUNDER SHALL BE FOR YOU TO DISCONTINUE YOUR USE OF THE SERVICES AND TERMINATE THIS AGREEMENT. Indemnification You agree to indemnify, hold harmless and defend the Company, its shareholders, directors, officers, employees and agents from and against any action, cause, claim, damage, debt, demand or liability, including reasonable costs and attorney's fees, asserted by any person, arising out of or relating to: (a) this Agreement; (b) your use of the Services, including any data or work transmitted or received by you; (c) any libelous, slanderous, indecent or other statement concerning any person made or republished by you; and (d) any breach of this Agreement by you, regardless of whether such claims, damages, liabilities, costs and expenses arise as a result of the Company's actions or inaction. Terms and Termination This Agreement is effective upon your acceptance as set forth herein and shall continue in full force until terminated. You may terminate your Character Account ID/ User I.D.. at any time without further obligation to the other. Further, the Company reserves the right to terminate all or any portion of the Services at any time without further obligation to you. IF THE SERVICES OR YOUR ACCOUNT IS TERMINATED OR CANCELLED FOR ANY REASON, NO REFUND OF ANY FEES WILL BE GRANTED. NO PRORATION OF FEES IS AVAILABLE TO YOU UPON TERMINATION OF THE SERVICES OR YOUR ACCOUNT FOR ANY REASON. UPON TERMINATION OF THE SERVICES OR YOUR ACCOUNT, YOUR ACCESS PRIVILIGES TO THE SERVICES WILL BE TERMINATED AND YOU WILL FORFEIT ANY UNUSED GAME ITEMS, PACHUN GOLD, PACHUN TOKENS THAT YOU PURCHASED OR RECEIVED PRIOR TO TERMINATION. An account may be subjected for termination if none of its characters has not been accessed for Six (6) consecutive months. An email will be sent to the registered email address in prior to its deletion, stating the conditions that the account owner must meet, should he wish to keep his account. Non-compliance would mean willingness giving up the account. Member Lists The Company, from time to time, may make its Member list available to select companies that offer products and/or information that the Company believes might be of interest to its Members. If you do not want your name released to these companies, please contact our Customer Service Center or email to unregister@z-zone.com.ph to indicate your preference. Miscellaneous No Partnership - The relationship between the parties shall not constitute a partnership. Neither party has the power or the right to bind, commit or pledge the credit of the other party. Assignment - You shall not assign or transfer all or part of its rights and/or obligations under the Agreement without the prior consent in writing of the Company (such consent not to be unreasonably withheld). The parties hereby agree that the Company shall be entitled to assign or transfer all or part of its rights and/ or obligations under the Agreement to any one of its Associated Companies without your consent upon the Company giving a written notice to you. Non-Waiver - No failure or delay in exercising on the part of either party any right, power or privilege under the Agreement shall operate as a waiver thereof nor shall any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof or any other right, power or privilege. Severability - In the event that any of the provisions of the Agreement shall be determined invalid, void or unenforceable, such provision shall be deemed to be deleted from the Agreement and the remaining provisions of the Agreement shall continue in full force and effect. Entire Agreement - The Agreement shall supersede any representations and previous agreements between the Company and you, in relation to the matters dealt with herein and represent the entire understanding between the parties in relation thereto. Survival - All terms of the Agreement, which by their nature extend beyond termination of the Agreement, remain in effect until fulfilled and apply to respective successors and assigns. Force Majeure - In the event that either party is prevented from performing, or is unable to perform, any of its obligations under the Agreement due to any unforeseen cause beyond the reasonable control of the party invoking this provision including but not limited to Acts of God such as floods, earthquakes and fires, riots and strikes (excluding riots and strikes by the employees of either party), war and acts of government, the affected party's performance shall be excused and the time for performance shall be extended for the period of delay or inability to perform due to such occurrence. If the force majeure event continues for a period of one (1) week, either party shall be entitled to terminate this Agreement upon one (1) day's prior written notice to the other party. Amendments Z-Zone may amend or revise this Agreement at any time and at its sole discretion, and such amendment or revision shall be effective upon posting of such revised agreement on the Z-Zone web site (the "Web Site"). User hereby agrees to review this Agreement by accessing the Web Site periodically to become aware of any such revisions. If any revision is unacceptable to the User, the User may terminate the Agreement hereof. Continued use of the Services following the posting of the revised Agreement shall be deemed to be acceptance of all such revisions. Interruption of Service Z-Zone reserves the right to interrupt the Service from time to time on a regularly scheduled basis or otherwise with or without prior notice in order to perform maintenance. You acknowledge that the Service may be interrupted for reasons beyond the control of Z-Zone, and Z-Zone cannot guarantee that you will be able to access the Service or your Account whenever you may wish to do so. Z-Zone shall not be liable for any interruption of the Service, delay or failure to perform resulting from any causes beyond its reasonable control. Unacceptable Conduct User may not engage in any conduct or communication while using the Services which is unlawful or which restricts or inhibits any other User from using or enjoying the Services. User agrees to use the Services only for lawful purposes. Z-Zone reserves the right to terminate the User's usership if it determines, in its sole discretion, that the User has engaged in unacceptable conduct. The list of prohibited conduct set forth in Subsection above provides examples of unacceptable conduct, which list is not exhaustive, and Z-Zone reserves the right, but not the responsibility, to restrict conduct which Z-Zone deems, in its sole discretion, to be harmful to individual users, damaging to the Services, or in violation of Z-Zone's or any third party's rights. Z-Zone may prohibit or delete conduct, communication or content transmitted on Z-Zone Services that is deemed to be in violation of applicable laws or is harmful to other users, the Z-Zone service community or the rights of Z-Zone in general. User acknowledges, however, that communication over the Services often occurs in real-time and Z-Zone cannot, and does not intend to, screen communication in advance. Intellectual Property Z-Zone, including, without limitation, all communication features of Z-Zone contains copyrighted material, trademarks and other proprietary information including, without limitation, text, software, photographs, video, graphics, music and sound, and the entire contents of Z-Zone and each area contained therein are copyrighted as a collective work under the Republic of Korea copyright laws. Z-Zone owns a copyright in the selection, coordination, arrangement and enhancement of such content. User may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the content contained on Z-Zone (including, without limitation, content that the Website enables you to download) without the express written permission of Z-Zone and the copyright owner. In the event of any permitted copying, redistribution or publication of copyrighted material, no changes in or deletion of author attribution, trademark, legend or copyright notice shall be made. The downloading of copyrighted material from Z-Zone is allowed by the user expressly for the user's own use. User acknowledges that Z-Zone and/or third-party content providers remain the owners of all materials posted on Z-Zone, and that the user does not acquire any of those ownership rights by downloading copyrighted materials. Violations Please report any violations of the Terms of Agreement to our compliance department by e-mail at the Customer Support mailing service on the official website. I have read and understand the foregoing Terms of Agreement and agree to be bound by all of its terms. For Articles above, it will be changeable without notice when deemed necessary. Legal Statement All title, ownership rights and intellectual property rights in and to SkyBlade, Sword of the Heavens and its content (including without limitation any user accounts, titles, computer code, themes, objects, characters, character names, stories, dialogue, catch phrases, locations, concepts, artwork, animations, sounds, musical compositions, audio-visual effects, methods of operation, moral rights, any related documentation, "applets" incorporated into SkyBlade websites, transcripts of the chat rooms, character profile information, recordings of games played on its content, and the MMORG client and server software) are owned by Z-ZONE ONLINE PHILIPPINES, INC. or its licensors. SkyBlade and Z-Zone websites and its content are protected by the copyright laws of the international copyright treaties and conventions, and other laws. All rights are reserved. SkyBlade & Z-Zone websites may contain certain licensed materials, and Magics as its licensors may protect their rights in the event of any violation of this Agreement. Z-ZONE ONLINE PHILIPPINES, INC. does not warrant that SkyBlade game, its websites and its content will be uninterrupted or error-free, that defects will be corrected, or that SkyBlade game, its websites or its content are free of viruses or other harmful components. Z-ZONE ONLINE PHILIPPINES, INC. expressly disclaims all expressed or implied warranties of its condition, defects, use, merchantability or fitness for any particular purpose or use, and non-infringement. Tasks and Responsibilities of Game Operations and Customer Support Game Operations Department (G.M.) Tasks & Responsibilities: Assist players in Game Events and Game How To’s. Create game activity lineup for Newbie, Mid-Level and High-level player account holders. Moderate fair and honest gaming of players towards other players and SkyBlade terms of use. Forwards screen captures of players to Customer Support in violation of SkyBlade Game Policy. Be the lead guardian of SkyBlade game from anomalous tampering and exploit of character accounts like BOTTING, ITEM DUPLICATION and USAGE OF HARMFUL 3rd PARTY PROGRAMS. Communicate summary of promotions, events, game activities, special game configurations directly to players via game console “SHOUT-OUTS”. Immediate and ONLY (1) one tool available to strictly exercise SkyBlade policy is player “MUTING” or disabling a player/s to be heard by players residing in a server when in violation. Consolidation of winning participants from G.M. hosted events ONLY like, GM’s hour. What can G.M. only do for you: Provide event schedules like HOP, COF, Marketing efforts, ItemMall sales. Notify of any changes in schedule. Answer game-related inquiries like, locations, monsters, items. Let you join in G.M.-hosted game events Inform of any bug, item exploits and suspected BOT users. What G.M. CANNOT help you with: G.M. does NOT have access to any case progression or status G.M. does CANNOT lift suspension as they are never allowed to suspend anyway. Access to suspension reports are kept with Support team exclusively. G.M. cannot discuss full procedures, announcement, event results, and more on chat, only guide and endorse location of the relevant page available in the website. G.M.’s have limited access and will NEVER entertain any request that will conflict with SkyBlade policy. G.M.’s are NEVER allowed to discuss over the telephone. Exclusive tool for G.M. to access and connect to players are the game console designed by the developers of SkyBlade, Sword of the Heavens. Customer Support Associates (C.S.A) Tasks & Responsibilities: Custodian of SkyBlade terms of usage, SkyBlade game policy and any security policies Z-ZONE ONLINE PHILIPPINES, INC. partakes to impart and fortify the policy as it evolves with the community.
